The General Corporate Law Team is headed by Mr. Gautam Kumar Bhargava who completed his BA.LLB (Hons.) from Rajiv Gandhi National University of Law in 2013. He is also a Company Secretary, He has rich experience in handling complex issues relating to general corporate commercial law including drafting, review and negotiating various kinds of commercial contracts including joint venture/ shareholders agreements, business transfer agreement, transfer of technology or technical collaboration agreements, service agreements, distribution contracts, trademark license, lease deeds, leave and license agreements, software license agreements, supply contracts and the like. He has assisted in various acquisitions and JVs across various industries and sectors involving drafting of the transaction documents (including SPA, SHA, JVA, etc.).
KEY DEALS:
i. Acquisition of 100% stake in 0.364 million square feet in Mumbai for an EV of Rs. 1,100 crores. Involved in diligence and drafting of the definitive agreements including SPA, DSA, Escrow Agreement etc.
ii. Acquisition of CDB business arm of a listed company for Rs. 1,600 crores. Involved in diligence and drafting of the definitive agreements including BTA, assignment deeds etc
iii. Advised one of the largest e-commerce company in its acquisition of a stake in a coupon company for approximately Rs. 1,500 crores. Involved in diligence and drafting of certain transaction documents.
iv. Advised one of the largest e-commerce company on the Indian leg of the transaction involving acquisition of 100% stake in an overseas company. Involved in diligence and drafting of definitive documents. v. Acquisition of a unit located in a SEZ in Chennai. Post-acquisition, assisted in transfer of the unit to a non SEZ location.
