The Commercial Law Team is headed by Ms. Preetika Mishra. He completed her BA.LLB (Hons.) from Rajiv Gandhi National University of Law in 2013 and LLM in International Commercial Laws from University College London. She expertise in handling complex Tax and Commercial matters involving in drafting, review and negotiating various kinds of commercial contracts. She has extensively handled legal issues relating to investments in Startups in India and overseas, advised clients on issues of angel investments and Venture Capitals, involved in structuring and advising on provisions of IBC, represented and advised clients before various Commercial Dispute Forums including National Company Law Tribunal, Debt Recovery Tribunal, ITAT, CESTAT, etc., served as Project Mentor for undergraduate students at School of Law, Singapore Management University for "Singapore Convention on Mediation: Comparative Contextual Views". She has been handling the Media Law division of the Firm.
KEY DEALS:
i. Represented client before NCLT for admission of claims amounting upto 20cr.
ii. Advised clients in investment in various Startups. Private Limited Companies, and other commercial concerns. Involved in drafting Shareholding agreements, Letter of Intent, Term Sheets, etc.
iii. Advised client on various legal and regulatory issues in relation to structuring and day to day legal and commercial issues. iv. Advising, strategizing and assisting clients on issues related to transfer of employees, transfer of business, closure of undertakings, etc. v. Assisted clients in compliance related matters including drafting of the minutes of the meeting of the board and shareholders, filing of the forms, Transfer of shares, Transmission of shares, etc.
vi. Handholding support in bringing Funds from overseas to India in terms of FDI regulations.
vii. Advising and Handholding on incorporating a new entity in India to clients overseas.
viii. Advising and handholding support to clients in NBFC sector. Involved in structuring of Loan Disbursal Kit.
ix. Advising and handholding support to clients in Telecommunication sector. Involved in structuring of provision of Value added services, Software Agreements.
x. Representing client in International Dispute Resolution process. xi. Conducting of extensive Due Diligence of the target Companies in India and overseas by acquiring Company.
